Terms & Conditions of Supply

Please read these commercial terms carefully before placing orders, issuing purchase orders, or confirming proforma invoices for industrial machinery, manufacturing plants, dies, and spare parts manufactured and supplied by Bharat Machinery & Engineering Works.

01 Scope of Agreement & Acceptance

These Terms and Conditions govern all commercial quotations, purchase orders, advance bookings, manufacturing, sale, dispatch, and commissioning of industrial machinery, semi-automatic equipment, fully automatic manufacturing lines, hydraulic presses, pellet mills, spare parts, and forming dies supplied by Bharat Machinery & Engineering Works ("Manufacturer", "Supplier", "We", "Us") to the buying enterprise, proprietorship, company, or individual ("Buyer", "Client", "You").

Issuance of an advance payment, signing of a quotation, digital confirmation on our customer portal, or acceptance of our Proforma Invoice constitutes unconditional acceptance of these terms. Any variance proposed in buyer purchase orders shall have no legal force unless explicitly agreed in writing by an authorized signatory of Bharat Machinery & Engineering Works.

02 Industrial Machinery Catalog, Quotations & Specifications

Technical specifications, machine dimensions, tonnage ratings, output capacities per hour, motor horsepowers (HP), and photographs presented in our online catalog, technical brochures, or digital media are based on standard design templates. Because raw material characteristics (such as paper GSM, roll thickness, moisture level, biomass density, or footwear sheet hardness) vary across regions, stated production outputs represent standard laboratory working ratings.

  • Quotations issued by our sales engineers remain valid for 15 calendar days from the date of issue unless specified otherwise due to steel, copper, or hydraulic component price fluctuations.
  • We reserve the right to incorporate engineering modifications, frame stiffening, or improved hydraulic solenoid valves without prior notice, provided the machine's functional performance meets or exceeds contractual specifications.

03 Orders, Booking Advance & Proforma Invoices

An order is formally registered and scheduled for factory fabrication only upon receipt of the agreed minimum booking advance (typically 25% to 50% of the total contract value as stipulated in the official Proforma Invoice) through authorized banking channels.

Once fabrication commences, structural steel plates are laser-cut and allocated specifically to the Buyer's configuration. Orders cannot be unilaterally cancelled by the Buyer except in accordance with our strict Cancellation & Refund Policy.

04 Payment Milestones, Dispatch Clearance & GST

All commercial transactions are conducted strictly in Indian National Rupees (INR). Payments must be remitted exclusively via verified RTGS, NEFT, IMPS, approved electronic banking channels, or secure payment links generated directly from our verified domain.

Milestone Dispatch Rule: Full outstanding balance (100% of the invoice amount including applicable GST and packaging) must be settled and credited to our bank account prior to loading the machinery onto freight transport trucks at our plant.

Applicable Goods and Services Tax (GST) is levied at the statutory rate prevailing at the date of tax invoice generation (typically 18% on industrial machinery and capital goods under HSN code chapters 84). Valid GST registration certificates must be provided by the Buyer to claim input tax credit (ITC).

05 Pre-Dispatch Factory Inspection & Video Sign-Off

To ensure 100% quality compliance, every manufactured machine undergoes a mandatory 4-hour continuous load trial at our factory testing bay before crate packing.

The Buyer is cordially invited to inspect the equipment physically at our manufacturing plant. If distance prevents on-site attendance, our quality engineering team records and transmits continuous high-definition operational video demonstrations showing stroke cycling, heater temperature stabilization, pressure gauge holding, and sample product ejection for Buyer approval.

06 Freight Transport, Transit Risk & Offloading

Machinery is dispatched on an "Ex-Factory / Transport To-Pay" basis unless freight charges are explicitly prepaid and itemized on the Proforma Invoice. Goods travel under the transport carrier's Lorry Receipt (Bilty / LR) and statutory GST E-Way Bill.

  • Risk of transit loss or accidental road collision is covered under standard transit commercial insurance where requested.
  • Arranging hydraulic cranes, forklifts, or manual rigging labor to safely unload the heavy machinery from the transport trailer at the Buyer's factory destination is exclusively the Buyer's operational responsibility.

07 Erection, Commissioning & Operator Training

Machines are engineered for modular "Plug & Play" deployment with comprehensive schematic diagrams and video tutorials. Where on-site service engineer deployment is requested:

The Buyer must ensure that three-phase industrial electrical power (415V, 50Hz with proper copper earthing), appropriate hydraulic oil ISO VG-68, pneumatic air compressors (where required), and raw paper/materials are ready at the factory site prior to the technician's arrival. Service engineer traveling allowance, boarding, and lodging are payable by the Buyer as per prevailing service rates.

08 1-Year Manufacturer Warranty & Exclusions

We warrant that the machinery supplied shall be free from manufacturing defects in workmanship and structural steel fabrication for a period of 12 (twelve) calendar months from the date of dispatch invoice.

Covered Under Warranty: Structural steel chassis, main drive motor (against winding defect under rated voltage), hydraulic cylinder seals, and main hydraulic power pack valve blocks.
Excluded From Warranty: Normal consumable wear items (heating coils, thermal thermocouples, cutting blades, Teflon sheets, rubber gaskets), damage caused by low voltage/single-phasing, contaminated hydraulic oil, or unauthorized mechanical modifications.

09 Limitation of Liability & Force Majeure

In no event shall Bharat Machinery & Engineering Works, its partners, engineers, or affiliates be liable to the Buyer for indirect, incidental, punitive, or consequential commercial damages, including but not limited to loss of raw materials, downtime losses, commercial profits, or contractual penalties incurred with third-party vendors. Our aggregate maximum liability under any claim arising from contract or warranty shall not exceed the actual net amount received by Us for the specific defective unit.

Neither party shall be held liable for delays or failure in delivery caused by events beyond reasonable human control ("Force Majeure"), including natural catastrophes, severe floods, transport strikes, lockouts, supply chain embargoes, electricity grid failures, or government regulatory sanctions.

10 Governing Law, Arbitration & Legal Jurisdiction

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India.

Any dispute, difference, or controversy arising out of or relating to this agreement shall first be addressed through amicable executive consultation. In the event mutual resolution cannot be attained within 30 days, the dispute shall be referred to arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The competent civil courts situated at the Supplier's registered manufacturing headquarters in Jorhat shall have exclusive territorial jurisdiction over all matters arising hereunder.
